Biography

Daniel specializes in Financial Law and Corporate Law, with particular emphasis and experience in Private Equity. Daniel has actively represented Mexican and international clients in a wide variety of cross-border matters, including corporate finance, project finance, structured finance, syndicated, convertible and secured loans, as well as mergers and acquisitions, corporate restructurings, and real estate. Daniel has developed a solid practice in the Private Equity industry, which includes the formation and operation of private equity and debt funds.

In 2007 he attained his Law Degree from the Universidad Panamericana in Mexico City. On July 2017, he attained a Masters´ Degree in Corporate Law from the Universidad Panamericana in Mexico City. Prior to his incorporation to Anker Abogados, he was a law clerk and associate of Kuri Breña, Sánchez Ugarte y Aznar, S.C. from 2007 to 2009; associate of Gonzalez Calvillo, S.C. from 2009 to 2015; General Counsel of LCA Capital (private equity fund) from 2015 to 2016, and senior associate of Creel Abogados, S.C. until the end of 2018.

Recent Experience in Significant Matters

  • Constantly advises private equity and debt funds in their operations and investment and debt transactions.
  • Has represented Fintech companies, in connection with the regulations applicable to the Financial Technology Institutions.
  • Has advised a company dedicated to the lease of self-storage facilities in different corporate matters.
  • Has participated in several project finance transactions, involving water treatment plants, power plants, public hospitals, gas pipelines, among others.
  • Has participated in public and private acquisition transactions of Mexican companies.
  • Has advised real estate portfolios, involving their acquisition processes and its financing.
  • He has been involved in the acquisition and transfer of rights of a baseball team, member of the Mexican Professional Baseball League.
  • Represented a Mexican public company and its controlling shareholders in the sale of 40% of the shares representing the capital stock of such company to two foreign pension funds. This transaction was structured through a tender offer through the Bolsa Mexicana de Valores, S.A.B. de C.V., at a price per share of MXN$43.96. Also, as part of the transaction, a FIBRA-E (Energy and Infrastructure Investment Trust) was created, to which various highway assets were contributed.
  • Represented a private equity fund in the acquisition of a minority interest in a Mexican company engaged in the commercialization of advertising space, which, as part of the same transaction, acquired a majority interest in a U.S.-based company in the same industry. This acquisition was financed with equity and debt provided by a group of creditors in Mexico.
  • He represented a private equity fund in the initial acquisition of 20% of the capital stock of a holding company owning a Mexican banking institution, and two other Financing Mexican Institutions (SOFOMs). The transaction also involved the structuring of a private equity fund to acquire such equity, and structuring an option to acquire an additional 20% of such holding company.
  • He advised a client in the $260’545 millions of Pesos sale of the 37% of such client´s equity participation in a special purpose vehicle awarded with a services agreement with the Ministry of Communications and Transports of Mexico for the construction, operation and maintenance of a toll road) to an infrastructure investment trust, known locally in Mexico as CERPI (Certificados Bursátiles Fiduciarios de Proyectos de Inversión), controlled by a large Mexican Afore.
